How to register a company in Kenya?

Kenya is located along the Indian Ocean on the East coast of Africa and is bordered by Tanzania to the south, Uganda to the west, South Sudan to the northwest, Ethiopia to the north, and Somalia to the northeast. The capital city of Kenya is Nairobi, and the official languages are Swahili and English. The official currency is the Kenya shilling (KES).

Procedure for Company Registration in Kenya:-

1. Name Reservation and Company Particulars
At least three (3) proposed names of the company needs to be submitted for search and clearance by the company registry. The officials at the registry establish the availability and desirability of the proposed name. If the name is available, it is reserved for a period of 30 days to facilitate registration of the company.

2. Approval
Executed company registration forms are uploaded which then undergo a vigorous verification process by the officers at the Registrar of Companies.

3. Timeline and Registration
The process takes approximately 3-4 weeks and upon successful registration, the documents and information are verified and a Certificate of Incorporation is issued by the Registrar of Companies. Upon registration, the Kenya Revenue Authority also issues the Company’s Pin within 2-15 working days upon application for the Company Pin.

Operational Requirements for Company in Kenya:-

1. KRA Pin

This is mandatory identification for all the individuals and companies for the purpose of Tax Compliance.

2. NHIF
This is a mandatory requirement with National Hospital Insurance Fund.

3. National Social Security Fund (NSSF)
This is a mandatory contribution for the employee for the purpose of retirement.

4. NITA
National Industrial Training Authority levy payment.

5. Business Permit
This is license cost paid to the local authority prior to commencement of any business.

6. Work Permit
Issued to Non Kenyans wishing to engage in gainful or non gainful employment.
